Terms of Use

The Service is currently operated by a team without a formally incorporated legal entity; forming a company (with a registered tax ID, address, and the other details Brazilian e-commerce law requires) is in progress, and this section will be updated with those details before the Service charges consumers in Brazil. Until then, "Maegor" and "we" refer to that operating team, reachable at founder@maegor.com.

This is not left vague for convenience: an identifiable contracting party is a requirement of Brazilian e-commerce law, and it is deliberate not to pretend otherwise until one exists.

Maegor is an AI-agent-assisted software engineering platform. You describe what you want built and the Service orchestrates agents (running on third-party models such as Anthropic, OpenAI, and DeepSeek) that write, run, and test code inside isolated sandboxes.

You must be at least 18 years old to use the Service on your own behalf.

If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, which then apply to both you and it.

You need an account to use the Service and are responsible for keeping your credentials secure and for all activity under your account. Notify us immediately of any unauthorized use.

A credit is the Service's unit of consumption. It is not currency, has no stored monetary value, cannot be transferred, sold, or resold, and is not a gift card or deposit for legal purposes.

Credits are debited according to the per-action cost shown in the product at the time an agent runs the task; cost can vary by task type, model used, and complexity.

If an agent action fails before completing due to a fault in the Service, the credits for that action are not consumed and return to your balance. Work that completed successfully, even if the outcome does not meet your expectations, has already consumed the corresponding credit.

Credits included in a monthly subscription that go unused expire at the end of the billing cycle. Separately purchased top-up credits do not expire while your account is active, but are forfeited if the account is closed or terminated for violating these terms.

A chargeback, payment dispute, or suspected fraud may result in immediate suspension of the account and forfeiture of the associated credits, without prejudice to other remedies.

We may change credit pricing, the credit cost of specific operations, or the composition of plans. Changes apply prospectively, take effect at the start of your next billing cycle at the earliest, and are announced in advance; they do not affect credits already purchased or a cycle already in progress.

Except where required by applicable law, credits and subscription payments are non-refundable. Nothing in these terms limits any mandatory cancellation, withdrawal, refund, or consumer-protection right that applies to you, including the 7-day right of withdrawal for purchases made outside a commercial establishment under article 49 of Brazil's Consumer Protection Code, where applicable to your case. To exercise that right or request a refund you are entitled to, contact founder@maegor.com; we will provide an electronic means to do so, as required by Decree 7.962/2013.

"User Content": code, prompts, files, repositories, and other material you provide or connect to the Service.

"Output": the code and other material an agent generates in response to your instructions.

"Maegor Materials": templates, components, scaffolds, agents, prompts, workflows, design systems, and other tooling or building blocks Maegor developed and reuses across the Service, independent of any specific user's Output.

"Third-Party Materials": open-source packages, libraries, and other third-party components that Output may incorporate.

You retain ownership of your User Content. As between you and Maegor, you receive whatever rights Maegor may hold in the Output generated specifically for you, to the extent transferable under applicable law. Maegor Materials remain Maegor's property; when a Maegor Material is incorporated into your Output, you receive a limited, non-exclusive license to use it as part of that project. Third-Party Materials remain subject to their own licenses.

AI-generated Output may not be unique: other users may receive identical or similar Output from similar instructions, and receiving an Output does not grant you exclusivity over it.

You grant Maegor a limited, worldwide license to host, reproduce, process, transmit, and otherwise use your User Content solely as necessary to provide, maintain, secure, and support the Service and to comply with law. Maegor itself does not use your User Content to train its own models. How third-party AI providers use what they process depends on each provider's own terms, detailed in Section 10.

While your User Content, Output, and data are processed within Maegor's own infrastructure (the Service's servers, sandboxes, and databases), Maegor is responsible, within the limits of applicable law including the LGPD, for the security of that processing and for the confidentiality, integrity, and availability of the data it handles as controller or operator.

From the point your project, its Output, or your data leave Maegor's infrastructure, whether through deployment, self-hosting, export, or connection to third-party services you configure yourself, responsibility for their security, configuration, and use shifts to you.

This includes the security and data protection of what you deploy outside the Service. If your project, a dependency it uses, or the way you configured and hosted it results in a data leak, loss, or unauthorized access to data (yours or a third party's, including your own end users), that is your responsibility. You are responsible for reviewing generated code, applying security practices appropriate to your case, and complying with data-protection laws (such as the LGPD or GDPR) that apply to what you build.

Maegor is also not responsible for losses arising from misuse of the Service by you or anyone with access to your account, or for damages caused by third-party services you connect to your project, outside Maegor's reasonable control.

You agree not to use the Service for: fraud, phishing, or credential theft; spam; unauthorized system intrusion; developing, deploying, or facilitating malware, ransomware, botnets, or exploits intended for unauthorized or malicious use; circumventing credit limits, sandbox isolation, or platform security controls; infringing third-party intellectual property; illegal data scraping or collection; stalking, harassment, or impersonation; generating, storing, or distributing child sexual abuse material (CSAM) or non-consensual intimate content, including deepfakes; or any use that violates the rights of third parties or applicable law.

This prohibition does not reach legitimate, authorized security research and penetration testing, only the development or use of exploits for unauthorized or malicious ends.

We reserve the right to suspend accounts that violate this acceptable use, with notice when possible.

Agents run on models operated by third parties (Anthropic, OpenAI, DeepSeek). Those models' availability, behavior, and response quality are partly outside our control, and changes made by those providers may affect the Service.

Tasks processed through Anthropic's and OpenAI's commercial APIs are not used by those providers to train their models, under each provider's standard commercial terms. DeepSeek is different: its terms allow it to use processed content to develop and improve its models. If a task of yours is routed to DeepSeek, that provider's data-use terms apply to that task. The current provider list, what each one processes, and how it uses that data is on the Subprocessors page.

The Service is provided "as is," without warranties of uninterrupted availability, error-free operation, or fitness for a particular purpose. We make reasonable efforts to keep the Service running, but maintenance, third-party provider instability, or technical failures may cause temporary downtime.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability that Brazil's Consumer Protection Code (CDC) and the LGPD do not allow to be waived by contract when you are a consumer.

Subject to that, to the maximum extent permitted by law: Maegor is not liable for indirect, incidental, or consequential damages arising from what you built, ran, or deployed once it left Maegor's infrastructure, including loss of profits or business; and Maegor's total liability for claims arising from the Service is limited to the amount you paid in the 12 months preceding the event, except for damages caused by Maegor's own infrastructure as described in Section 7, gross negligence, willful misconduct, or where a higher limit is required by law.

Maegor is not responsible for failures attributable solely to third-party services outside its reasonable control (such as an AI provider's outage), subject to applicable law.

You may close your account at any time. We may suspend or terminate accounts that violate these terms, or where necessary for security or fraud prevention, with prior notice when reasonable.

After closure, your projects and data remain available for export for 30 days, after which they are deleted or anonymized in line with the Privacy Policy. Purchased, unused top-up credits are forfeited on account closure.

If Maegor discontinues the Service entirely, we will provide reasonable advance notice and an opportunity to export your data before shutdown.

Clauses that by nature should survive termination (such as limitation of liability and ownership of already-generated content) remain in effect.

These terms are governed by the laws of the Federative Republic of Brazil.

If you are a consumer under Brazilian law, you may bring any claim related to the Service in the courts of your domicile, as provided by the Consumer Protection Code, and nothing in these terms requires you to resolve disputes exclusively through arbitration.

We may update these terms as the Service evolves. Material changes, including changes to pricing, credits, or your rights under these terms, will be communicated by email or an in-product notice in advance and will not apply retroactively. If a material change reduces your rights or increases what you pay, you may cancel your subscription before it takes effect, without penalty. Continued use of the Service after a change takes effect constitutes acceptance of it.
